Business Disputes
We regularly represent individuals and companies in business disputes. We recently represented the minority shareholder of a startup mental health company who had a membership/management dispute with the other owners. The company filed a derivative action against our client, alleging breach of contract, fraud, conversion, and unfair and deceptive trade practices. We filed counterclaims and negotiated a settlement that enabled the client to sell his interest back to the company.
We defended the majority shareholder of a publicly-traded beverage company against claims asserted by a former employee for breach of contract and tortuous interference with contract. The employee alleged that the company owed him approximately $1 million in stock. We removed the action to federal court and secured a complete dismissal of all claims against the client.
We defended a grocery store chain based in the DC metro area against multi-million dollar claims asserted by a commercial real estate developer. Even though default was entered against the client before our firm got involved in the case, thereby conclusively establishing liability, we conducted substantial discovery and were able to negotiate a settlement for a small fraction of the value of the lawsuit.
